Subscription and Billing Terms

These terms explain how training is bought and paid for on Shog Corporate Training — seats on our catalogue courses, and the subscription that lets you run your own courses — and what happens to your workspace, your data and your issued certificates if you stop paying. They are for the organisation that holds the account, not for individual learners.
Who you are contracting with
Shog Corporate Training is operated by Shog Consulting (FZC), licence number SC242038101, registered at STRIP Block C VL07-017, Sharjah, United Arab Emirates. In these terms, "we" and "us" mean Shog Consulting (FZC). "You" means the organisation named on the order form or on the account.

What you are buying
There are two things you can buy, and you may buy both.
Seats on catalogue courses. A seat is the right for one named member of your staff to be enrolled on one of the courses in our catalogue, to sit its assessment, and to be issued a certificate by us if they pass. Seats are paid per enrolment at the price shown when you enrol. A seat is tied to a person once assigned; once that person has started the course the seat is consumed and cannot be moved.
An own-course subscription. A subscription lets you write your own courses on the platform and train your own people with them, across every company on your account, with the same mechanics our catalogue uses: identity capture, assessments, evidence, audit preview, and certificates that anyone can verify. Certificates for your own courses are issued in your organisation's name, with your logo and stamp if you upload them; we operate the verification register they appear on. What you charge your own trainees, if anything, is between you and them.
Both give you the workspace itself: your administrators' accounts, your attendee records, your enrolments, your assessment results, your certificates, your audit log and your data export.
Subscription plans and what is included
A subscription is a plan — Starter, Growth or Scale — billed monthly or yearly. The prices and allowances are shown on the plan page before you subscribe and on your invoice afterwards. Each plan includes a number of certificates per calendar month; the number and the price of additional certificates are fixed on your subscription when you subscribe or change plan, and do not change until you do.
A certificate counts when it is issued under your organisation's name for one of your own courses, whichever of your companies the learner belongs to. Certificates we issue for catalogue courses never count. A certificate that is later revoked still counts: it was issued.
The month is the calendar month in the United Arab Emirates (Gulf Standard Time). The allowance is per month and does not carry over; a yearly plan keeps the same monthly allowance. Your first month has the full allowance whatever day you subscribe.
Additional certificates. Nobody who passes is held back at the allowance. Certificates beyond it are issued and charged at your plan's additional-certificate price, on a separate invoice after the month ends, to the card on file. The additional-certificate price is shown on your plan page and fixed on your subscription.
Trial. A new subscriber may take a fourteen-day trial. A card is required to start it and is charged when the trial ends unless you cancel first. During the trial you may enrol up to three people in your own courses; additional certificates are not available during the trial.
Changing plan. Moving to a higher plan applies at once, with a proportionate charge for the rest of the current billing period, and the higher allowance applies to the whole current month. Moving to a lower plan takes effect at the end of the current billing period; the month in which it takes effect keeps the higher allowance.
Currency, VAT and taxes
Prices are stated in United Arab Emirates dirhams (AED) unless your order form states another currency.
Prices are exclusive of value added tax unless stated otherwise. UAE VAT at the prevailing rate is added to every seat and every subscription invoice and shown separately. If you are established outside the UAE, or you believe the supply is zero rated or outside the scope of UAE VAT, tell us before you purchase and provide the evidence we ask for. You are responsible for any withholding tax, duty or local charge imposed in your own jurisdiction.
Give us your correct legal entity name, address and tax registration number before your first invoice: they are written to your Stripe customer record and printed on every invoice. We can reissue an invoice to correct our own error. We may not be able to reissue one to correct details you gave us late.
Payment and card handling
Payments are taken through Stripe, which acts as our payment processor. Your card details are entered into Stripe and are held by Stripe. We do not see, receive or store card numbers, and no card number is stored on our systems. Stripe's own terms and privacy notice govern its handling of your payment information.
Seats are paid at the point of purchase. Subscriptions are charged at the start of each billing period, and additional certificates after the end of each month, to the card on file.
Payment failure
If a subscription payment fails, Stripe retries the card over the following days and we email the owners on the account with a link to pay.
For fourteen days from the first failure everything keeps working. After fourteen days, until the invoice is paid, the account is read-only for its own courses: no new enrolments can be created in them, and their content cannot be changed. Everything else continues — learners already enrolled finish their course and receive their certificate, existing certificates stay verifiable, audit previews can be opened, and catalogue seats can still be bought. Paying the invoice restores the account at once.
If the invoice remains unpaid after Stripe's retries, the subscription ends; see below.
Invoices and receipts
Seat purchases produce a receipt and an invoice available from your workspace. Subscription and additional-certificate invoices are Stripe's numbered VAT invoices, available from the billing portal linked on your plan page and sent to the billing email address on the account. Keep that address current: it is the only address we use for billing notices.
Renewal
Subscriptions renew automatically at the end of each billing period for a further period of the same length, at the price then in force, unless you cancel before the renewal date. Seat purchases do not renew.
We will tell you before a renewal that carries a price change. See "Price changes" below.
Cancellation
You may cancel your subscription at any time from the billing portal linked on your plan page or by writing to training@shogconsulting.com. Cancellation takes effect at the end of the billing period you have already paid for. Until then nothing changes, and you can undo the cancellation from your plan page.
We may terminate for a material breach of these terms or of the Acceptable Use Policy that you do not fix within a reasonable period after we tell you about it, and immediately where the breach cannot be fixed or where continuing would expose us or your learners to a legal risk.
Refunds
Fees paid are non-refundable except where stated here or where UAE law requires otherwise.
We will refund, on a pro rata basis for the unused part of a subscription period, where we terminate your subscription for a reason that is not your breach, or where we have charged you in error.
We do not refund seats that have been assigned and started, a subscription period you have chosen to stop using early, or additional certificates: once a certificate has been issued under your name it exists on the register and has been paid for.
If you believe you have been charged incorrectly, write to training@shogconsulting.com within 30 days of the invoice. Please do not raise a card chargeback before contacting us: a chargeback can suspend the account automatically while it is being resolved.
What happens when a subscription ends
Three things are separate, and the difference matters.
Certificates already issued remain valid and verifiable. A certificate asserts what a named person did on a stated date against a stated version of a course. Ending a subscription does not change that history. Certificates issued under your name keep their number, issue date and expiry, and remain verifiable at the public verification page. We keep the verification record for as long as the certificate is valid and thereafter in line with the Data Retention and Deletion policy, whether or not you still subscribe, because a third party checking a certificate must get an answer. The evidence behind each certificate stays available to you on the same terms.
Your own courses become read-only. No new people can be enrolled in them and their content cannot be changed. Learners already enrolled finish their course and receive their certificate; a certificate issued after the subscription ends is charged at your plan's additional-certificate price on a final invoice. You can subscribe again at any time and pick up where you left off.
Everything else continues. Your workspace, your companies, your attendee records, catalogue seats and the certificates we issued for them are unaffected by the end of a subscription.
If your workspace closes entirely — you close the account, or a subscription for the workspace itself ends — you have a 30-day window to run a full data export covering your attendees, enrolments, certificates, assessment results and audit log. After that window, your organisation's data is securely deleted in line with the Data Retention and Deletion policy, except for the verification records described above.
If you connected your own Google Drive or Microsoft storage to the workspace, the certificate files, identity photographs and signed declarations written there are already in your own possession, on your own storage. They are unaffected by anything we delete.
Price changes
We may change prices. A change to the price of a renewing subscription takes effect at your next renewal, and we will give you at least 30 days' notice in writing to the billing email address on the account. If you do not accept a new price, cancel before the renewal date and the change will not apply to you. The allowance and additional-certificate price fixed on your subscription do not change until you change plan.
Taxes are not a price change: if a tax rate changes, or a tax becomes applicable to your purchase, the new amount applies from the date the change takes effect.
Changes to these terms
We may update these terms. Where a change materially reduces your rights, we will give notice to the billing email address on the account before it takes effect for you, and it will apply from your next renewal. The version of these terms you accepted is recorded on your subscription.
